1. Introduction

Welcome to TixFlow. These Terms of Service ("Terms") govern your use of our website and services. By accessing or using our service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the service.

L5L3 s.r.o. (legal entity name, trading as TixFlow) operates this website and service.

2. Platform Role

TixFlow is a tool for event organization and ticketing. We do not organize events. We act solely as a technology provider.

We cannot and do not control the quality, safety, or legality of events advertised or held. All responsibility related to the quality of the event, safety, or any other claims lies entirely with the Organizer of the event.

Organizers are required to prove their identity before publishing events. TixFlow redirects all claims, disputes, and inquiries regarding specific events to the Organizer's communication channels.

3. Organizer's Own Policies

Organizers may publish links to their own terms and conditions and privacy policy ("Organizer Policies"). Where an Organizer has done so, buyers are asked to accept those Organizer Policies before completing a purchase.

Precedence. Organizer Policies govern only the relationship between the Organizer and the buyer. In the event of any conflict, inconsistency, or ambiguity between an Organizer Policy and these Terms, these Terms prevail in respect of TixFlow. No Organizer Policy can create, extend, limit, or transfer any obligation, warranty, or liability of L5L3 s.r.o., and TixFlow is not a party to any agreement formed by an Organizer Policy.

Sole responsibility. The Organizer is solely responsible for the lawfulness, accuracy, availability, and performance of its Organizer Policies, including their compliance with applicable consumer-protection and data-protection law. In respect of personal data that an Organizer collects or receives through the service, the Organizer acts as an independent controller.

Prohibited content. Organizer Policies must not state or imply that TixFlow organizes the event, is responsible for its delivery or cancellation, decides or funds refunds, or determines how the Organizer processes personal data. Organizer Policies must not purport to bind TixFlow, to waive rights of TixFlow, or to name TixFlow as a party, guarantor, or agent.

TixFlow may remove an Organizer Policy link, suspend, or block an Organizer account at our sole discretion, without prior notice, where we believe this section has been breached. We do not review, approve, or monitor Organizer Policies, and displaying a link is not an endorsement of its content.

4. User Conduct

Organizers have full responsibility for the content they create, upload, post, send, or store on the service.

You agree not to use the service to:

  • Create fake or misleading events.
  • Sell illegal goods or services.
  • Engage in any kind of fraud or deceptive activity.
  • Violate any applicable national or international laws.
  • Publish policies, notices, or event content that misrepresent TixFlow's role, or that assign to TixFlow responsibility for the delivery of an event, for refunds, or for the Organizer's handling of personal data (see section 3).

TixFlow reserves the right to suspend or block the account of any Organizer at our sole discretion, without prior notice or explanation, if we believe these Terms have been violated.

5. Refund Policy

The refund policy for each event is set by the Organizer. TixFlow is not responsible for issuing refunds to attendees.

An Organizer's refund policy may not reduce rights that buyers hold under mandatory consumer-protection law, and may not oblige TixFlow to fund, approve, or process a refund.

TixFlow retains a commission for the service provided. In the event of a refund, this commission must be covered by the Organizer. TixFlow's service fees are non-refundable, regardless of any contrary provision in an Organizer Policy.

6. Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of L5L3 s.r.o. and its licensors. The Service is protected by copyright, trademark, and other laws of both the Czech Republic and foreign countries.

7. Indemnification

The Organizer shall indemnify, defend, and hold harmless L5L3 s.r.o., its directors, employees, and agents against any and all claims, demands, proceedings, damages, fines, penalties, settlements, and costs (including reasonable legal fees) arising out of or in connection with: (i) the Organizer Policies, including their content, absence, unavailability, or non-performance; (ii) the Organizer's events, acts, or omissions; (iii) the Organizer's processing of personal data; and (iv) any breach by the Organizer of these Terms or of applicable law.

TixFlow will notify the Organizer of any such claim of which it becomes aware and may, at its discretion, participate in the defence at its own expense. The Organizer may not settle any claim in a way that imposes an obligation or admission on TixFlow without our prior written consent. This section survives termination of these Terms.

8. Limitation of Liability

In no event shall L5L3 s.r.o., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

10. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
